Terms of Use

1. Overview

By purchasing CMS Ops-in-a-Box (“the Product”), you agree to these terms. The Product is a digital operations system created by CMS Mortgage Solutions Inc. (“CMS”). Your purchase grants you a license to use the Product — it does not transfer ownership of any intellectual property.

2. License Grant

CMS grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Product materials within your single brokerage, branch, or mortgage company
• Customize templates, playbooks, and frameworks for your organization’s internal use (e.g., adding your company name, modifying activity targets)
• Print, share internally, and distribute materials to employees within your organization

3. Restrictions

You may NOT:

• Resell, sublicense, or redistribute the Product or any part of it
• Share Product files, content, or materials with individuals or organizations outside your company
• Repackage, rebrand, or create derivative products, courses, coaching programs, or consulting deliverables based on the Product
• Post Product content publicly on social media, forums, websites, or any publicly accessible platform
• Upload Product files to shared drives, cloud storage, or platforms accessible by non-employees
• Remove, alter, or obscure any CMS Mortgage copyright notices or branding
• Use the Product to compete directly with CMS Mortgage Solutions or its products

4. Intellectual Property

All content, frameworks, playbooks, scorecards, training materials, and associated intellectual property in the Product are and remain the sole property of CMS Mortgage Solutions Inc. This includes but is not limited to:

• The 23 Framework and Theme Days system
• The C.A.R.E. Coaching Framework
• Daily Playbook structures and content
• Tier-based accountability scoring system
• All written copy, templates, and training scripts

Purchase of the Product does not constitute a transfer, assignment, or sale of any intellectual property rights.

5. Enforcement

Any violation of these terms will result in:

• Immediate revocation of your license with no refund
• Termination of access to the Product via Whop
• CMS reserves the right to pursue all available legal remedies, including DMCA takedown notices, injunctive relief, and claims for damages

6. Refund Policy

CMS offers a 30-day money-back guarantee. To qualify:

• You must have made a good-faith effort to implement the system
• Email support@cmsmortgage.com within 30 days of purchase
• Upon refund, your license is immediately revoked and you must delete all Product files from your systems
• No partial refunds are available

7. Disclaimers

• The Product provides operational guidance and frameworks. It is not legal, financial, compliance, or tax advice.
• CMS makes no guarantee of specific production outcomes, revenue increases, or business results. Results depend on your implementation, team, market conditions, and other factors outside CMS’s control.
• “Results not typical” applies to all performance metrics, case studies, or production numbers referenced in Product materials or marketing.
• CMS is not responsible for how you implement the system or for any consequences of implementation decisions.

8. Limitation of Liability

To the maximum extent permitted by law, CMS Mortgage Solutions Inc.’s total liability for any claims related to the Product shall not exceed the purchase price you paid. CMS is not liable for any indirect, incidental, consequential, or punitive damages.

9. Governing Law

These terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

10. Changes to Terms

CMS reserves the right to modify these terms at any time. Updated terms will be posted at this URL. Continued use of the Product after changes constitutes acceptance.
